1. ACCEPTANCE OF TERMS By accessing, registering for, purchasing, or using the software and services provided by the Company, the user agrees to be legally bound by these Terms and Conditions of Service. If the user does not agree with these terms, they must not use the software.
2. DESCRIPTION OF SERVICE The Company provides a software platform intended for the creation, management, storage, and use of medical records, informed consents, and documentation related to healthcare. The software is an administrative and technological tool and does not substitute for any clinical, medical, or legal judgment.
3. NO PROVISION OF MEDICAL SERVICES The Company does not provide medical, clinical, or diagnostic services. The software does not replace evaluation by licensed healthcare professionals. The user is solely responsible for using the software in accordance with applicable state and federal laws.
4. USER RESPONSIBILITY The user is responsible for:
The truthfulness and legality of the entered information.
Obtaining necessary consents from patients.
Complying with applicable privacy and health laws (including HIPAA).
Maintaining the confidentiality of their access credentials.
5. PRIVACY AND REGULATORY COMPLIANCE (HIPAA) The Company adopts reasonable security measures to protect stored information. However, the user acknowledges that they are responsible for complying with legal obligations related to the protection of Protected Health Information (PHI). Where applicable, a Business Associate Agreement (BAA) may be established.
6. LICENSE OF USE The Company grants the user a limited, non-exclusive, non-transferable, and revocable license to use the software in accordance with these terms and any contracted plan.
7. INTELLECTUAL PROPERTY All software, source code, designs, logos, trademarks, and documentation are the exclusive property of the Company. The user does not acquire intellectual property rights over the software.
8. LIMITATION OF LIABILITY To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, special, or consequential damages arising from the use of or inability to use the software.
9. SERVICE AVAILABILITY The Company does not guarantee that the software will be free from interruptions or errors. Scheduled or unscheduled maintenance may be performed.
10. TERMINATION The Company may suspend or terminate access to the software in case of breach of these terms, without prejudice to other legal actions.
11. MODIFICATIONS TO TERMS The Company reserves the right to modify these Terms of Service at any time. Continued use of the software shall constitute acceptance of the modifications.
12. GOVERNING LAW AND JURISDICTION These Terms shall be governed by and interpreted in accordance with the laws of the United States, without regard to conflict of law principles.
