MEXCOTECH SOLUTIONS LLCINTRODUCTION AND SCOPE OF THE AGREEMENT
This Master Software License Agreement (MSLA) constitutes a legally binding agreement between MEXCOTECH SOLUTIONS LLC, a company registered in the State of Texas, United States (hereinafter “MEXCOTECH”, “the Company” or “the Platform”) and any natural or legal person who accesses, uses, or acquires a license for the MEXCOTECH SALUD software (hereinafter “User”, “Client” or “Professional”).
This document regulates the access, use, licensing, and legal conditions applicable to the use of the digital platform provided by MEXCOTECH.
By registering, accessing, creating an account, or using any feature of the system, the user acknowledges that they have read, understood, and accepted these terms in their entirety. If the user does not agree with this agreement, they should not use the system. Do not register and do not use it.
This agreement is designed to protect both MEXCOTECH and the professionals who use the platform, and clearly establishes the responsibilities, legal limitations, and service conditions.1. NATURE OF THE SERVICE
MEXCOTECH SALUD is a digital technology platform designed to facilitate the administrative, documentation, and operational management of professionals in the health, aesthetics, and wellness sector.
The platform may be used by:
MEXCOTECH does not provide medical services nor substitute the professional judgment of the user.
The platform functions exclusively as a digital management technology tool that allows for the organization of professional information, communication, and documentation.2. SOFTWARE LICENSE OF USE
MEXCOTECH grants the user a limited, non-exclusive, non-transferable, and revocable license to use the MEXCOTECH SALUD software for the contracted period.

This license does not constitute a sale of the software.
All intellectual property rights, source code, design, structure, and functionalities of the system remain under the exclusive ownership of MEXCOTECH SOLUTIONS LLC.3. MAIN FUNCTIONS OF THE SYSTEM
The system may include various professional tools such as:
Digital clinical management
Operational management
Professional tools
Professional visibility
The information generated within the system is digitally processed and sent directly to the registered professional’s email address.
MEXCOTECH does not permanently store medical records or documents on its servers.
The professional can download the documents generated on the platform to their tablet, computer, or mobile device.
The professional is responsible for retaining their records and backups in accordance with the regulations applicable to their practice.5. INFORMATIVE HIPAA CLAUSE
The platform has been designed considering general security and privacy standards similar to HIPAA (Health Insurance Portability and Accountability Act).
However, compliance with the medical and privacy regulations applicable to each professional practice is the exclusive responsibility of the professional using the platform.6. NO REFUND POLICY
Due to the digital nature of the service and immediate access to the software, all sales are final.
Once the user accesses the platform or activates their license, no refunds will be granted under any circumstances.
This includes change of mind, business cancellation, lack of system use, or subsequent payment disputes.7. ANTI-CHARGEBACK CLAUSE
The user acknowledges that they are acquiring a digital software license.
Any attempt to dispute payment with processors such as Stripe, PayPal, Square, issuing banks, or card companies will be defended by MEXCOTECH using evidence of:
Fraudulent disputes may be considered financial fraud.8. TECHNICAL SUPPORT
The annual license includes virtual technical support related to the operation of the software.
Support may include technical assistance, guidance on system usage, and resolution of technical problems.
Support does not include medical, financial, or legal advice.9. PROFESSIONAL DIRECTORY
Active users may appear in the public Mexcotech directory.
The directory allows potential patients to find professionals, view services, and book appointments.
Presence in the directory is free while the license is active.10. LIMITATION OF LIABILITY
MEXCOTECH SOLUTIONS LLC will not be responsible for indirect damages, loss of income, loss of patients, clinical errors, or professional decisions made by the user.
The company’s maximum liability shall not exceed the amount paid for the annual software license.11. FULL INDEMNIFICATION
The user agrees to indemnify and hold harmless MEXCOTECH against any claim, demand, or legal action presented by patients, third parties, or authorities arising from the use of the system.12. JURISDICTION AND APPLICABLE LAW
This agreement is governed by the laws of the State of Texas.
Any legal dispute must be resolved exclusively in the courts of Harris County, Houston, Texas.
The user agrees that they may not initiate legal proceedings in other states or jurisdictions.13. LEGAL FEES
In the event the user initiates legal action against MEXCOTECH and the company must defend itself, the user agrees to cover the legal fees, court costs, and professional expenses incurred by the company.14. DIGITAL ACCEPTANCE
Registration on the platform and digital acceptance of these terms constitute legal evidence of acceptance of the agreement.
Electronic records, IP address, and system activity may be used as evidence in legal proceedings or financial disputes.15. MODIFICATIONS TO THE AGREEMENT
MEXCOTECH reserves the right to modify these terms at any time to adapt to legal, regulatory, or technological changes.
Continued use of the platform after an update constitutes acceptance of the new agreement.
This document is part of the comprehensive legal framework of the Mexcotech Salud platform and has been designed to provide legal clarity, corporate protection, and transparency in the relationship between the company and professional users.
The objective of this agreement is to establish a secure digital environment where professionals can use advanced technological tools to organize their professional practice while maintaining adequate legal protection for all parties involved.

This Privacy Policy explains how Mexcotech Solutions LLC (“Mexcotech,” “we,” “us,” or “our”) handles the personal information we collect, including personal information collected through our websites, applications, platforms, digital forms, cloud systems, and/or devices (collectively, the “Company Site” and the “Services”).

We use these technologies to operate and improve the Site/Services, troubleshoot technical issues, understand how they are used, personalize your experience, and, where applicable, display advertisements or measure their effectiveness. We may use analytics tools such as Google Analytics and/or Mixpanel (or other equivalents) on some sites, products, or services. Depending on your settings, these tools may use cookies or identifiers to measure usage, performance, and behavior within the Site/Services. We may also disclose information when we deem it necessary to: (a) comply with applicable laws and regulations; (b) respond to subpoenas or other valid legal requests; (c) enforce terms and conditions; (d) protect our rights, reputation, and property, or those of users/affiliates/the public; (e) support auditing, compliance, and corporate governance; and (f) perform or evaluate corporate transactions (merger, acquisition, asset sale, or related processes).5. Children
The Company Site and our Services are not directed to or designed for use by minors. We do not intentionally collect personal information online from children under eighteen (18) years of age.6. Third-Party Links
The Company Site may contain links to third-party sites. Except as set forth in this Policy, we do not share your personal information with such third parties, and we are not responsible for their privacy practices. We encourage you to read the privacy policies of those sites.7. Do Not Track

Generally, we do not solicit clinical or patient information through the public Site. However, some of our Services (e.g., digital forms, consents, electronic records, before/after photo modules, teleconsultation, secure messaging, or others) may involve access to and/or processing of patient information when a client (e.g., a clinic, medical spa, or healthcare organization) uses our platforms.
When we process health data or protected health information (“PHI”) on behalf of healthcare provider clients, we do so pursuant to applicable contractual agreements (e.g., business associate agreements, where applicable) and relevant laws such as HIPAA and applicable state laws. This Privacy Policy does not govern the healthcare provider’s use of PHI; if you have questions about your PHI, contact the provider with whom you have a relationship directly.9. Data Security and Retention
We implement reasonable and appropriate security measures (technical, physical, and administrative) designed to protect personal information against unauthorized access, alteration, loss, disclosure, or use. However, no transmission over the Internet can be guaranteed 100%.
Users are responsible for maintaining the confidentiality of their credentials (username/password) and any authentication methods for accessing secure areas. We may suspend or restrict access if we suspect a security breach.
We retain personal information for as long as necessary to fulfill the purposes for which it was collected, provide the requested Services, and comply with legal, accounting, or contractual obligations.10. Nevada Residents
Under Nevada law, we do not sell your personal information in exchange for monetary consideration. If you are a Nevada resident, you may request that we do not sell personal information we have collected about you by contacting us at: +13467167000. 11. California Residents

If you are a resident of these states (and other states with similar laws), you may have the right to: (i) confirm whether we process your personal information and access it; (ii) correct inaccuracies; (iii) delete personal information; (iv) obtain a portable copy of your information; and (v) opt-out of certain processing, such as targeted advertising, “sale” of personal information, and, where applicable, profiling that has legal or similar effects.
To exercise these rights, contact us using the channels indicated in the “Compliance, Questions, and Concerns” section. If we decline a request, you may appeal by following the instructions we provide in the response.13. EU and UK Residents
Regulation (EU) 2016/679 (“GDPR”) and UK laws grant residents rights over their personal data. With respect to certain processing activities, Mexcotech may act as the data controller (e.g., contact data for demos, marketing, or support). When we process patient data on behalf of a healthcare provider, the provider is generally the data controller and Mexcotech acts as the processor.13.1 Rights (EU/UK)
International transfers: our systems may operate and be hosted in the United States or other jurisdictions. Where applicable, we will implement adequate safeguards for international transfers pursuant to the GDPR.14. EU and UK Data Subject Representative: Data Subject Requests
