These General Terms of Use (the “General Terms”), along with any applicable product, plan, or specific order terms (collectively, the “Terms”), constitute a legal agreement between you and Mexcotech Solutions LLC (“Mexcotech,” “we,” “us,” or “our”). By accessing or using our websites, applications, web-based platforms, support services, forums, integrations, and/or any SaaS (Software as a Service) service (the “Services”), as well as any related software, scripts, documentation, and materials (the “Software”), you agree to be bound by these Terms.

• Technology company: Mexcotech provides infrastructure and SaaS software. We do not provide medical, legal, accounting, or professional services.

1. Your agreement with Mexcotech

 

1.1 Contracting entity and governing law

 

If you reside or your entity is incorporated in the United States, your contractual relationship is with Mexcotech Solutions LLC. These Terms are governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of laws rules, unless otherwise provided by applicable federal law.

 

1.2 Product-specific terms

 

Some Services may have additional terms (e.g., subscription plans, modules, integrations, acceptable use policies, service level agreements, security addenda, or a signed order/contract). In case of conflict, the specific product terms or the signed contract for that particular Service will prevail.

 

1.3 Business users

 

If your access is provided by a company or organization (“Business Customer”), you may be a “Business User.” The Business Customer may have the ability to administer, access, control, and manage your business account, including certain operational data (as permitted by law and the applicable contract).

 

1.4 Updates to the Terms

 

We may modify these Terms occasionally. If we make material changes, we will notify you by reasonable means (for example, within the Service or by email). Continued use after the effective date of the updates constitutes acceptance of the changes.

 

2. Privacy

 

Our processing of personal data is described in the Mexcotech Privacy Policy. If these Terms and the Privacy Policy differ, the Privacy Policy will govern regarding data collection, use, sharing, and retention.

 

2.1 Operational access to your content

 

To operate the Services, we may access your content in a limited manner and in accordance with technical instructions (e.g., processing forms, generating reports, storing files, enabling functions). We do not claim ownership of your content.

 

2.2 Illegal or abusive content

 

We may implement automated controls or limited reviews to detect abuse, fraud, spam, phishing, malware, or other illegal or prohibited content or conduct. We may also act upon third-party reports or legal requirements.

 

3. Use of Services and Software (License)

 

3.1 Limited license

 

Subject to your compliance with these Terms, Mexcotech grants you a non-exclusive, limited, revocable, and non-transferable license to access and use the Services and the Software solely for legal commercial or internal purposes, according to the contracted plan.

 

3.2 Intellectual property

 

The Services and the Software are licensed, not sold. Mexcotech (and its licensors) retains all rights, title, and interest, including copyrights, trade secrets, and trademarks. No rights are granted to you except those expressly conferred.

 

3.3 Storage and copies

 

You may be responsible for backing up your content. We may impose reasonable technical limits (e.g., size, storage, processing, usage rates) and suspend functions if they are exceeded.

 

4. Your content

 

4.1 Definition of Content

 

“Content” includes data, text, images, documents, forms, records, and materials that you upload, import, or generate using the Services.

 

4.2 Ownership of Content

 

Between you and Mexcotech, you retain ownership of your Content. Mexcotech does not claim ownership rights over your Content.

 

4.3 License to operate the service

 

You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, process, and create technical copies of your Content solely to the extent necessary to operate, maintain, and improve the Services, provide support, security, fraud prevention, and legal compliance.

 

4.4 Shared content

 

If you choose to share Content with third parties (e.g., via links, users, roles, or integrations), you are responsible for setting permissions and verifying what you share. Mexcotech does not control the subsequent use by third parties authorized by you.

 

5. Your account

 

You are responsible for all activity conducted from your account, including actions performed with your credentials. You must maintain secure credentials and immediately notify us of any unauthorized access.

 

6. User conduct

 

You agree not to:

• violate applicable laws or third-party rights;
• share, resell, or sublicense your access without written authorization;
• introduce malware, viruses, malicious code, or attempt to breach security;
• perform unauthorized scraping, data mining, or massive extraction;
• use the Service for spam, phishing, fraud, or impersonation;
• upload illegal, defamatory, obscene, abusive, or intellectual property infringing content;
• interfere with the availability of the Service or with other users;
• circumvent technical restrictions, usage limits, or access controls.

7. Fees and payments

 

If your plan is a paid plan, you agree to pay the applicable fees, taxes, and third-party charges (e.g., payment gateways). Except as required by mandatory legal provision, payments are non-refundable. We may suspend access for non-payment.

 

7.1 Renewals and changes

 

Subscriptions may renew automatically according to the contracted plan. We may update prices or billing terms with reasonable notice, when applicable.

 

8. Warranties and indemnity

 

8.1 User warranties

 

You represent and warrant that you have the necessary rights to upload and use your Content, and that your use of the Service complies with the law.

 

8.2 Indemnification

 

You will indemnify and hold harmless Mexcotech, its affiliates, officers, employees, and suppliers against claims, damages, losses, and reasonable attorney’s fees arising from: (a) your Content; (b) your use of the Service; (c) violation of these Terms; (d) regulatory non-compliance attributable to you.

 

9. Warranty disclaimers

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MEXCOTECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

 

10. Limitation of liability (Texas)

 

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, MEXCOTECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, REPUTATION, OR DATA, EVEN IF THE POSSIBILITY HAD BEEN ADVISED.

 

MEXCOTECH’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF: (A) USD $100; OR (B) THE TOTAL AMOUNT PAID BY YOU TO MEXCOTECH IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

 

11. Termination

 

You may stop using the Service according to your plan. Mexcotech may suspend or terminate your access immediately if you breach these Terms, if there is a security risk, fraud, legal requirement, or lack of payment. Certain sections survive termination, including indemnity, warranty disclaimers, limitation of liability, and dispute resolution.

 

12. Compliance with sanctions and export control

 

You agree to comply with applicable US and other jurisdictions’ sanctions and export laws and regulations. You will not use the Service if prohibited by applicable law.

 

13. Dispute resolution: arbitration and waiver of class actions

 

Unless prohibited by law, any dispute will be resolved through BINDING ARBITRATION in the State of Texas, and you waive jury trial. YOU AND MEXCOTECH AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE CLASS OR REPRESENTATIVE ACTIONS.

 

Before initiating arbitration, the parties will attempt to informally resolve the dispute through written notice and a 30-day negotiation period.

 

14. Audit rights (business customers)

 

If you are a Business Customer, Mexcotech may reasonably audit license compliance and use (no more than once every 12 months), with reasonable prior notice, subject to confidentiality and applicable law.

 

15. Updates and availability

 

We may modify, update, or discontinue the Services or features. We may perform planned or unplanned maintenance. We do not guarantee continuous availability.

 

16. Restrictions: modifications, reverse engineering, and AI/ML

 

You must not (nor allow third parties to): (a) modify, decompile, disassemble, or reverse engineer; (b) attempt to discover source code, algorithms, or processes; (c) use the Services, data, or outputs to train, test, or improve AI/ML models without written authorization; (d) massively extract data for machine learning purposes.

 

16.1 AI and results

 

If the Service includes AI features, the outputs may be probabilistic and do not guarantee accuracy. You are responsible for reviewing and validating any results before using them. Mexcotech does not offer professional advice through AI.

 

17. Miscellaneous

• Severability: If a provision is invalid, the others remain in force.
• No assignment: You may not assign these Terms without written consent. Mexcotech may assign to affiliates or in a restructuring.
• Force majeure: Neither party will be liable for events outside its reasonable control.
• Prevalence: In case of conflict with a signed contract, the signed contract prevails.

18. DMCA and intellectual property (notices)

 

We respect intellectual property rights. If you believe there is an infringement, you can send a notice with: (a) identification of the work; (b) location of the material; (c) contact information; (d) statement of good faith; (e) statement under penalty of perjury; (f) physical or electronic signature.

This document establishes the user’s acknowledgement of the use of Artificial Intelligence (AI) tools within the MEXCOTECH SALUD digital platform, property of MEXCOTECH SOLUTIONS LLC.2. USE OF ARTIFICIAL INTELLIGENCE ON THE PLATFORM

 

The Mexcotech Salud platform may include technological tools based on Artificial Intelligence designed to assist the professional with informational tasks, data organization, technical guidance, and workflow optimization.

 

These tools have an exclusively technological and support purpose.3. LIMITATION OF AI USE

 

The Artificial Intelligence functions within the system:

• Do not substitute the user’s professional judgment.
• Do not constitute medical diagnosis.
• Do not constitute mandatory clinical recommendation.
• Do not replace the user’s professional evaluation.

The user acknowledges that any professional, medical, or commercial decision is made under their own judgment and responsibility.4. USER RESPONSIBILITY

 

The user accepts that the information generated by Artificial Intelligence tools within the system must be evaluated by the professional before being used.

 

MEXCOTECH SOLUTIONS LLC will not be responsible for decisions made by the user based on results generated by AI tools.5. LEGAL COMPLIANCE

 

The user agrees to use the system’s tools in accordance with the applicable laws in the United States and the State of Texas.
